These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Total Closing Solutions (“Company,” “we,” “us,” or “our”) governing your use of our real estate closing, virtual notary, and legal document signing services.

By scheduling an appointment, submitting documents, using our website, or engaging any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are acting on behalf of a corporation, partnership, or other legal entity, you represent that you have the authority to bind such entity to these Terms.

These Terms should be read in conjunction with our Privacy Policy, which is incorporated herein by reference.

2. Description of Services

Total Closing Solutions provides the following professional services:

  • Real Estate Closing Services: Coordination and facilitation of residential and commercial real estate closings, including document preparation review, execution facilitation, and disbursement coordination in accordance with lender and title company instructions.
  • Virtual Notary / Remote Online Notarization (RON): Legally compliant notarization services conducted via secure audio-visual technology as authorized under applicable state Remote Online Notarization statutes.
  • Legal Document Signing Services: Facilitation of execution for legal documents including, but not limited to, wills, trusts, powers of attorney, and other legal instruments.
  • Document Processing: Review, organization, and preparation of legal document packages in connection with real estate and legal transactions.

 

Our services are provided in accordance with applicable federal and state laws governing notarial acts, real estate settlements, and professional licensing requirements.

3. Eligibility and Authorization

To use our services, you must:

  • Be at least 18 years of age or the legal age of majority in your jurisdiction
  • Have the legal capacity to enter into binding contracts
  • Provide valid, government-issued photo identification as required for identity verification
  • Have a lawful purpose for all documents presented for signing or notarization
  • Not be under duress, undue influence, or lacking mental capacity at the time of signing

 

We reserve the right to refuse service to any individual if we have reasonable grounds to believe the transaction is fraudulent, illegal, or involves document manipulation.

4. Client Responsibilities

As a client of our services, you agree to:

  • Provide accurate, complete, and truthful information in connection with all transactions
  • Present valid, unexpired government-issued identification for all parties requiring notarization
  • Ensure all signers are willing, competent, and of legal age
  • Review all documents carefully before signing and seek independent legal advice if necessary
  • Provide timely access to all required documents prior to scheduled appointments
  • Notify us immediately of any errors, changes, or corrections required in connection with your transaction
  • Comply with all applicable laws and regulations in connection with your transaction
  • Ensure all parties to the transaction have access to reliable internet, webcam, and audio equipment for virtual notary sessions

5. Fees and Payment

Service fees are established by mutual agreement at the time of scheduling and are governed by the following terms:

  • All fees are due and payable as agreed upon at time of service engagement
  • Fees are subject to change with notice; the fee in effect at the time of scheduling applies to that engagement
  • Cancellation fees may apply for appointments cancelled with less than 24 hours’ notice
  • Additional fees may apply for document re-execution, amendment, or re-scheduling due to client error or incomplete documentation
  • We accept payment via the methods disclosed at time of service engagement

 

All fees are exclusive of any applicable taxes, recording fees, or third-party charges, which remain the sole responsibility of the client.

6. Appointment Scheduling and Cancellation

Appointments may be scheduled via our website, phone, or email. The following scheduling policies apply:

  • Appointments are confirmed upon receipt of all required documentation and identification
  • Cancellations must be provided with at least 24 hours’ advance notice to avoid cancellation fees
  • We reserve the right to reschedule appointments due to unforeseen circumstances, technology failures, or scheduling conflicts with reasonable advance notice
  • No-show appointments may be subject to a full service fee
  • We are not liable for delays or failures caused by third parties, including lenders, title companies, or technology platform providers

7. Notarial Acts – Special Terms

With respect to our notarization and virtual notary services, the following additional terms apply:

  • Our notaries are commissioned and authorized under applicable state law; services are only provided in jurisdictions where our notaries are authorized to perform notarial acts
  • We do not provide legal advice; our notaries verify identity and witness signatures but do not interpret, draft, or provide legal counsel regarding document content
  • The Company and its notaries bear no responsibility for the legal sufficiency, accuracy, or enforceability of any document notarized
  • All remote online notarization sessions are conducted in compliance with applicable RON statutes and platform requirements
  • Notarization may be refused if a signer appears confused, intoxicated, under duress, or the document appears fraudulent
  • Electronic notarial journals and session recordings are retained per applicable state law requirements

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOTAL CLOSING SOLUTIONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU TO TOTAL CLOSING SOLUTIONS FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

The foregoing limitations apply regardless of the legal theory upon which any claim is based, and even if we have been advised of the possibility of such damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless Total Closing Solutions, its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; (d) any fraudulent, incomplete, or inaccurate information you provide; or (e) any dispute between you and any third party in connection with your transaction.

10. No Legal or Financial Advice

Total Closing Solutions provides signing, notarization, and document processing services only. Nothing in our services, communications, or website constitutes legal, financial, tax, or investment advice. We strongly encourage all clients to consult with a licensed real estate attorney, lender, financial advisor, or other qualified professional before executing any real estate, financial, or legal documents.

Our notaries and staff are not licensed attorneys and cannot provide legal advice. Any questions regarding the legal sufficiency or enforceability of documents should be directed to your attorney.

11. Intellectual Property

All content on our website and in our service materials, including text, graphics, logos, and software, is the property of Total Closing Solutions and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our express written consent.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the state in which services are performed, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or our services shall first be subject to good-faith negotiation between the parties. If such negotiation is unsuccessful, the parties agree to submit to binding arbitration in accordance with the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

Nothing in this section shall prevent either party from seeking emergency injunctive relief from a court of competent jurisdiction where necessary to protect confidential information or intellectual property.

13. Compliance with Mortgage Industry Regulations

Our services are provided in compliance with applicable mortgage industry regulations, including but not limited to:

  • The Real Estate Settlement Procedures Act (RESPA) and its implementing regulations
  • The Truth in Lending Act (TILA) and TRID (TILA-RESPA Integrated Disclosure) requirements
  • The Gramm-Leach-Bliley Act (GLBA) regarding protection of nonpublic personal information
  • Anti-money laundering (AML) requirements and FinCEN regulations
  • Applicable state recording and notary laws
  • MISMO standards for electronic mortgage documents where applicable

 

We cooperate fully with regulatory investigations and legal process as required by law.

14. Force Majeure

We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, governmental actions, internet or technology outages, or other events of force majeure. In such circumstances, we will use commercially reasonable efforts to reschedule or fulfill our obligations.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting updated Terms on our website with a revised effective date. Your continued use of our services following notice of changes constitutes acceptance of the modified Terms. We recommend reviewing these Terms periodically.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement
